OVERVIEW

Welcome to Lampila store! These terms refer to "we" as Lampila. Lampila maintains this store and website, including all related information, content, features, tools, products and services, to provide you, the customer, with a curated shopping experience ("Services"). Lampila operates on Shopify technology, which enables us to provide Services to you.

The following terms together with the policies referenced herein (these "Terms of Service" or "Terms") outline your rights and responsibilities when using the Services.

Please read the Terms of Service carefully as they contain important information about your rights and address matters including warranty disclaimers and liability limitations.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or Privacy Policy, do not use our Services.

SECTION 1 – ACCESS AND ACCOUNT

By accepting these Terms of Service, you represent that you are at least the age of majority in your state or province of residence and give us consent that any of your minor dependents may use the Services on devices you own, purchase or manage.

To use the Services, such as using or browsing our online stores or purchasing offered products or services, you may be asked for certain information, such as email address and billing, payment and shipping information. You represent and warrant that all information you provide in our stores is correct, current and complete and that you have all necessary rights to provide such information.

You are solely responsible for keeping your account credentials secure and for all activity on your account. You may not transfer, sell, assign or license your account to any other person.

We have made every effort to ensure the most accurate information about our products and services is available in our online stores. However, please note that product colors or appearance may differ from how they appear on screen. Factors affecting this include the device you use to access the store, as well as your device's settings and configurations.

We do not guarantee that the appearance or quality of any products or services you purchase will meet your expectations or match what is described or shown in the online store.

All product descriptions may be changed at any time without notice and at our sole discretion. We reserve the right to discontinue selling any product at any time, and may also limit the quantity of products offered to any person or in any region or jurisdiction on a case-by-case basis.

SECTION 3 – ORDERS

When you place an order, you offer to purchase a product or service. Lampila reserves the right to accept or reject your order for any reason at its sole discretion. Your order has not been accepted until Lampila confirms acceptance. We must receive and process your payment before your order is accepted. Please review your order carefully before submitting it, as Lampila may not be able to accommodate cancellation requests after order acceptance. If we do not accept an order, make changes to it, or cancel it, we will attempt to notify you by contacting you using the email address, billing address or phone number you provided at the time of order.

Purchases may only be returned or exchanged in accordance with our Return Policy.

You represent and warrant that your purchase is for your own personal or household use and not for commercial resale or export.

SECTION 4 – PRICES AND BILLING

Prices, discounts and promotions may be changed without prior notice. The product or service will be charged at the price in effect at the time of order. The price will be stated in the order confirmation email. Unless otherwise specified, stated prices do not include taxes, shipping costs, handling fees, customs duties or import charges.

Prices stated in our online store may differ from prices in effect at physical stores or online or other third-party stores. We may occasionally run promotions through our Services that may affect pricing and may be subject to separate terms from these Terms. If there is a conflict between promotional terms and these Terms, the promotional terms shall prevail.

You agree to provide current, complete and accurate purchase, payment and account information whenever you make purchases in our stores. You agree to promptly update account information and other information, including your email address, credit card numbers and expiration dates, so that we can process payment transactions and contact you as needed.

You represent and warrant that (i) the credit card information you provide is true, correct and complete, that (ii) you have the right to use such credit card information to make a purchase, that (iii) your credit card company will respond to charges you make, and that (iv) you will pay costs incurred by you, including stated prices, shipping and handling costs and any taxes.

SECTION 5 – SHIPPING AND DELIVERIES

We are not responsible for delays in shipments and deliveries. All delivery times are estimates and cannot be guaranteed. We are not responsible for delays caused by carrier operations, customs procedures or other events beyond our control. When we deliver products to the shipping service, title and risk of loss transfer to you.

SECTION 6 – INTELLECTUAL PROPERTY

The owners of our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, videos and images and their format, selection and arrangement, are Lampila, its partners or licensors, and are protected by US and other countries' patent, copyright and intellectual property laws.

These Terms grant permission to use the Services only for personal, non-commercial use purposes. You may not reproduce, distribute, modify, publicly display, publicly perform, republish, download, store or transmit any materials from the Services, or create derivative works from them, without our prior written permission. Unless specifically stated otherwise herein, nothing in these Terms grants you a license or other rights or should be construed as granting you a license or rights under any patent, trademark, copyright or other intellectual property right of Lampila, Shopify or any third party. Unauthorized use of the Services may violate state or federal intellectual property laws. Lampila reserves all rights not expressly granted herein.

The names, logos, product and service names, designs and slogans of Lampila store are trademarks of Lampila store or its partners or licensors. You may not use these trademarks unless Lampila has given prior written permission. Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs and slogans appearing in the Service are trademarks of their respective owners.

SECTION 7 – OPTIONAL TOOLS

As part of the Services, you may have access to customer tools provided by third parties that we do not control and cannot influence in any way.

You acknowledge that we provide access to such tools "as is" and "as available" without any warranties, representations or conditions and without any recommendation. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

If you use optional tools offered through the site, you do so entirely at your own risk and discretion and should ensure that you are familiar with and approve of the terms on which the third parties provide the tools.

We may also in the future offer new features through the Services (including new tools and resources). Such new features shall be deemed part of the Services and subject to these Terms.

The Services may contain materials and hyperlinks to websites provided and maintained by third parties (including embedded third-party functions). We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites if you choose to use such content. We are not responsible for any harm or damage related to the use of third-party websites or the purchase or use of products, services, resources or content on third-party websites. Before making any transactions, carefully read the third party's policies and procedures and ensure you understand them. Complaints, claims, concerns or questions regarding third-party products and services should be directed to the third party.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

Lampila uses Shopify's services so we can provide Services to you. However, in all purchases you make in our store, the other party is directly Lampila. By using the Services, you agree that Shopify is not responsible for any aspect related to transactions between you and Lampila, including injuries, damages or losses resulting from purchased products or services. You hereby expressly release Shopify and its partners from all claims, damages and liabilities resulting from or related to your purchases and payment transactions with Lampila.

SECTION 10 – PRIVACY POLICY

All personal information collected through the Services is subject to our Privacy Policy, which can be viewed here, and certain personal information may also be subject to Shopify's Privacy Policy, which can be viewed here. By using the Services, you confirm having read these privacy policies.

Because the Services are hosted by Shopify, Shopify collects and processes personal information from your use of the Services in order to deliver the Services to you and improve them. To deliver the Services to you, information you submit to the Services is transmitted and shared with Shopify and third parties who may be located in countries other than your country of residence. Our Privacy Policy has more information about how we, Shopify and our partners use personal information.

If you submit, upload, post, email or otherwise transmit ideas, suggestions, feedback, reviews, proposals, plans or other content (collectively "Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute and display Feedback in any form and for any purpose, including commercial use. For example, we may use our rights under this license to produce, provide, evaluate, improve and market the Services and to comply with our obligations and exercise our rights under these Terms of Service.

You also represent and warrant that (i) you own the Feedback or all necessary rights to it, that (ii) you have disclosed all compensation or incentives you have received related to submitting the Feedback, and that (iii) your Feedback complies with these Terms. We have no obligation to (1) keep your Feedback confidential, (2) pay compensation for the Feedback or (3) respond to the Feedback.

We may, but have no obligation to, monitor or edit Feedback or remove Feedback that we deem in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party's intellectual property rights or these Terms of Service.

You warrant that your Feedback does not violate any third party's rights, including copyrights, trademarks, privacy, personality or other personal or proprietary rights. You also agree that your Feedback will not contain libelous or otherwise unlawful, offensive or obscene Feedback or any computer viruses or other malware that could in any way affect the operation of the Services or related websites. You may not use a false email address, impersonate another person or otherwise mislead us or third parties as to the origin of the Feedback. You are solely responsible for the Feedback and its accuracy. We accept no responsibility for Feedback posted by you or any third party.

SECTION 12 – ERRORS, INACCURACIES AND OMISSIONS

The Services may occasionally contain information that includes typographical errors, inaccuracies or omissions related to, for example, product descriptions, prices, promotions, product shipping charges, transit times or availability. We reserve the right to correct any errors, inaccuracies or omissions and, if any information is incorrect, change or update information or cancel orders at any time without prior notice (including after you have placed an order).

You may use the Services only for lawful purposes. Additionally, you warrant that you will not (a) upload or transmit viruses or any other malicious code that is used or can be used in a way that affects the operation or use of the Services, (b) reproduce, duplicate, copy, sell, resell or misuse any part of the Services, (c) collect or track others' personal information, (d) spam, phish, farm or otherwise collect or solicit information, or (e) interfere with or circumvent security measures of the Services or any related websites, other websites or the Internet. We reserve the right to suspend, disable or terminate your account at any time without notice if we find you have violated any part of these Terms.

SECTION 14 – TERMINATION

We may terminate this agreement or your access to the Services (or any part thereof) at our sole discretion at any time without prior notice, in which case you are responsible for all amounts up to the termination date.

The following sections remain in effect after termination: Intellectual Property, Feedback, Termination, Warranty Disclaimer, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy and all other terms that should remain in effect by their nature.

Information presented in or through the Services is made available for general information purposes only. We do not warrant the accuracy, completeness or usefulness of this information. UNLESS LAMPILA SPECIFICALLY STATES OTHERWISE, SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES, REPRESENTATIONS OR CONDITIONS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT, REPRESENT OR PROMISE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW DISCLAIMERS OF IMPLIED AND OTHER WARRANTIES, SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU.

SECTION 16 – LIMITATION OF LIABILITY

TO THE EXTENT PERMITTED BY LAW, LAMPILA, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS OR CORRESPONDING SHOPIFY AND ITS PARTNERS' PARTIES SHALL NOT BE LIABLE FOR DAMAGES, LOSSES, CLAIMS OR DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST SAVINGS, LOST DATA, REPLACEMENT COSTS OR SIMILAR DAMAGES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHER PRINCIPLE, ARISING FROM YOUR USE OF THE SERVICES OR PRODUCTS ACQUIRED THROUGH THE SERVICES OR FROM ANY OTHER CLAIMS RELATED TO YOUR USE OF THE SERVICES OR ANY PRODUCT, INCLUDING BUT NOT LIMITED TO ERRORS OR OMISSIONS IN ANY CONTENT OR ANY LOSSES OR DAMAGES ARISING FROM USE OF THE SERVICES OR ANY CONTENT POSTED, TRANSMITTED OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICES OR ANY PRODUCT, EVEN IF ADVISED OF THEIR POSSIBILITY.

SECTION 17 – INDEMNIFICATION

You agree to indemnify, defend and hold harmless Lampila, Shopify and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from losses, damages, liabilities or claims, including reasonable attorney fees payable as a result of your (1) breach of these Terms of Service or documents incorporated by reference, (2) violation of any law or third party right, or (3) use of these Services.

We will notify you of indemnification claims provided that failure to provide prompt notice does not relieve you of your obligations unless you suffer material harm. We may administer the defense and settlement of such claim at your expense, including selecting an attorney, but we will not settle any claims that require you to undertake obligations other than monetary obligations without your consent (which you may not unreasonably deny). You will cooperate in the defense of indemnification claims, including by providing relevant documents.

SECTION 18 – SEVERABILITY

If any provision of these Terms of Service is found to be unlawful, void or unenforceable, such provision is nevertheless enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms of Service such that such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 19 – WAIVER; ENTIRE AGREEMENT

If we fail to enforce any right or provision of these Terms of Service, this does not constitute a waiver of such right or provision.

These Terms of Service and policies and operating rules we have published on this site or in connection with the Service constitute the entire agreement and understanding between you and us and govern your use of the Service, replacing any prior or concurrent agreements, communications or proposals, oral or written, between you and us (including but not limited to any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafter.

SECTION 20 – ASSIGNMENT

You may not delegate, transfer or assign this Agreement or any of your rights or obligations under these Terms without our prior written consent, and such attempts shall be deemed void. We may transfer, assign or delegate these Terms and our rights or obligations without consent and without notice to you.

SECTION 21 – GOVERNING LAW

These Terms of Service shall be governed by and construed in accordance with federal and state or territorial courts in the jurisdiction where Lampila's headquarters is located. You and Lampila agree to jurisdiction and personal jurisdiction in such courts.

SECTION 22 – HEADINGS

Headings have been added to this agreement only to facilitate reading, and they do not limit or otherwise affect these Terms.

You can review the current version of the Terms of Service at any time on this page.

We reserve the right at our discretion to update, change or replace any part of these Terms of Service by posting updates and changes on our website. It is your responsibility to check the website regularly for changes. We will notify you of significant changes to these Terms in accordance with applicable law, and such changes will take effect on the date stated in the notice. If you continue to use the Services after changes have been made to these Terms of Service, you are deemed to have accepted the changes.
